Article VI - Committees

Section I. Committees

Section 2. How Appointed

A. The President, subject to the approval of the Board of Trustees, shall
appoint the committee chairpersons.

B. Special committees may also be appointed by the President, subject to
the approval of the Board of Trustees.

Section 3. Terms of Office
Members appointed to standing committees shall serve for one (I) year or
until their successors are appointed.

Section 4. Duties
A. The chairpersons of committees shall:
    1. Be responsible to the Board of Trustees.
    2. Prepare an annual report and upon request a report to the Board of Trustees.
    3. Turn over all records and correspondence to the President within thirty (30) days after termination of         appointment.

B. The members of committees shall cooperate with the chairperson incarrying out the duties as assigned.

Section 5. Specific Duties

A. Bylaws
This committee shall receive proposed amendments and present them to
the Board of Trustees and to the members for consideration.

B. Continuing Education
This committee shall assist in the development of educational standards
and consistently endeavor to further the educational program of this
association and that of the American Association of Nurse Anesthetists.

C. Government Relations
This committee shall work with and under the direction of the Board
of Trustees and the National Government Relations Committee in
matters pertaining to pending legislation, regarding the administration
of anesthetics by nurse anesthetists.

D. The Public Relations Committee will develop plans to promote
Nurse Anesthesia within the state. This committee shall stimulate good
relations between the nurse anesthetists and the community of interest by
disseminating pertinent information through all available channels. This
Committee shall be responsible for membership retention and the
recruitment programs of the ASSOCIATION.

Section 6. Vacancies

A. In the event vacancies occur in committees, the President, subject to
the approval of the Board of Trustees, shall appoint members to fill such
vacancies.

B. In the event that member of a committee fails to carry out the
assignment, the Board of Trustees may select a replacement.

Article VII - Meetings, Quorums, Voting

Section 1. Meetings

A. The annual meeting and elections shall be held with the date and place to be decided by the Board of Trustees.

B. Regular meetings of the association shall be held two (2) or more times each year, dates and places to be approved by the President.

C. Written notice of the association meetings, whether annual or special, stating the place, day and hour thereof, together with the purpose for which such meeting is called, shall be posted on the association's list serve and website, and sent by mail to association members who decline electronic communication, at least seven(7) days prior to the date of the meeting. If , however, time does not allow for a seven (7) day notice, and a quorum of the association members is present, such meeting shall be legal.

Section 2. Quorums

A. Three (3) active members, of which one (1) must be an officer, shall constitute a quorum at the annual meeting.

B. Three (3) active members, of which one (1) must be an officer, shall constitute a quorum at any regular meeting.

Section 3. Voting

A. Who may vote: only active members shall participate in elections and other voting.

B. Nominations

  1. Only active members shall be eligible for nomination.
  2. Written consent of a candidate must be obtained before a name may be placed on a ballot.
  3. Additional nominations may be made from the floor at an annual meeting before nominations are declared closed, if the voting is done at the annual meeting. Verbal consent from the nominee will be accepted by the President when the nomination is from the floor.

C. Method of Voting

  1. The Secretary-Treasurer shall certify credentials before issuing ballots to voting members. Three (3) tellers shall be appointed by the President and shall be responsible for election procedures, including a special room for voting, ballot boxes, counting the ballots, and making an official report to the members. The tellers shall also be responsible for counting other votes on any business transacted.
  2. Matters submitted for vote to the voting body shall be determined by the majority unless otherwise specified.
  3. Election shall be by ballot.
  4. A vote may be cast for a person not on a ballot by writing in the name if written consent has been obtained.
  5. A plurality vote shall elect.
  6. The membership will be polled for nominations for office by or in January of election year. There will be a Nominating Committee. This Committee in conjunction with the Secretary-Treasurer will be responsible for receiving nominations and providing ballots to the membership prior to the Annual Meeting. Return ballots must include member's signature and AANA number.
